1. Preamble

These Terms and Conditions (hereinafter referred to as "Terms") govern the relationship between NovaIn Training & Consultancy (hereinafter "NovaIn", "we", "us", or "our") and all stakeholders, including but not limited to students, clients, consultants, and partners.

2. Applicability

2.1 These terms are applicable to all services provided by NovaIn, including but not limited to:

  • Training and skill development programs
  • Enterprise software development
  • Consulting services
  • Project-based learning experiences

2.2 By engaging with NovaIn's services, all stakeholders agree to be bound by these terms.

  • Website visitors
  • Student program participants
  • Clients and potential clients
  • Job applicants
  • Partners and stakeholders

3. Student Program Terms

3.1 Program Participation

  • Participants must be at least 18 years of age.
  • All information provided must be accurate and verifiable.
  • NovaIn reserves the right to verify academic and personal credentials.
  • Participation does not guarantee employment or placement.

3.2 Program Structure and Pricing

  • Initial resources and basic training modules are provided free of charge.
  • Charges apply for advanced stages, specifically:
    1. Comprehensive mentorship
    2. Personalized guidance
    3. Professional certification
    4. Project-stage support and documentation
  • Pricing details will be clearly communicated before advanced stage enrollment.
  • Payment is required to progress to project-based learning and certification stages.

3.3 Intellectual Property

  • Projects completed during training remain the intellectual property of NovaIn.
  • Students are granted limited usage rights for personal portfolio purposes.
  • Commercial exploitation of project work is strictly prohibited without written consent.

3.4 Confidentiality

  • Students must sign a non-disclosure agreement (NDA).
  • Sharing of client or internal information is strictly prohibited.
  • Violation may result in immediate program termination.

4. Client and Consulting Services

4.1 Service Engagement

  • Quotes and proposals are valid for 30 days from the date of issue.
  • All prices are in Indian Rupees (INR).
  • Taxes will be charged as per prevailing Indian tax laws.
  • Payment terms are 50% advance and 50% upon project completion.

4.2 Project Delivery

  • NovaIn commits to delivering projects within mutually agreed timelines.
  • Modifications and changes will be charged separately.
  • Source code and project assets remain NovaIn's property until full payment.

4.3 Liability and Warranties

  • NovaIn provides services "as is" with no explicit guarantees.
  • Total liability is limited to the value of the specific service contract.
  • No compensation will be provided for indirect or consequential damages.

5. Conduct and Ethics

5.1 Professional Conduct

  • All stakeholders must maintain professional behavior.
  • Harassment, discrimination, or unethical conduct is strictly prohibited.
  • NovaIn reserves the right to terminate engagement without prior notice.

5.2 Conflict Resolution

  • Any disputes will be resolved through mutual discussion.
  • Unresolved conflicts will be subject to arbitration in Bhubaneswar, Odisha.
  • Proceedings will be governed by the Arbitration and Conciliation Act, 1996.

6. Modifications to Terms

  • NovaIn reserves the right to modify these terms.
  • Changes will be communicated via official communication channels.
  • Continued use of services implies acceptance of modified terms.

7. Jurisdiction

  • These terms are governed by the laws of India.
  • Any legal disputes will be subject to the jurisdiction of courts in Bhubaneswar, Odisha.
